In order to buy wine from this website you must do so according to the terms and conditions and by Registering you are agreeing to be bound by them.
1.1) These terms and conditions shall apply to all contracts and invoices for the sale of goods by Ralph’s Wines Ltd to the buyer.
1.2) Ralph’s Wines Ltd reserves the right to choose not to accept an order for any reason.
1.3) Where mixed cases of wine are offered, Ralph’s Wines Ltd reserves the right to replace certain items with others of similar value at any time.
1.4) Nothing in these terms and conditions shall affect or exclude your statutory rights as a consumer.
1.5) When an order is placed with Ralph’s Wines Ltd, the buyer must be at least 18 years of age in accordance with the UK licence law. If the buyer is buying goods as a gift then the recipient must be at least 18 years old, and be signed for delivery by an adult aged 18 years or over.
2.1) Delivery of any goods shall be made by Ralph’s Wines Ltd notifying the buyer that the goods are either available for collection at a pre arranged premises or for delivery to such place or as agreed between Ralph’s Wines Ltd and the buyer at the time the order is placed.
2.2) All goods shall be delivered within 28 days of an order being placed wherever possible and the buyer shall make all necessary arrangements to take the delivery of goods whenever they are tendered for delivery.
2.3) Ralph’s Wines Ltd shall endeavour to meet any delivery date agreed by the two parties. If a time of delivery is not met, Ralph’s Wines Ltd shall not be liable for any loss, costs, damages or expenses incurred by the consumer or any third party acting directly or indirectly out of any estimated delivery date.
2.4) All goods shall be made up in multiples of six bottles to minimise the risk of breakages during transportation.
2.5) Once the goods have been accepted and signed for by the buyer, responsibility, title and risk of the goods passes onto the buyer.
2.6) If in the event some goods may not be in stock at the time an order is placed, Ralph’s Wines Ltd will contact the buyer to advise them of the situation and the buyer shall be entitled to cancel the order and receive a full refund, or agree a later delivery.
2.7) Ralph’s Wines Ltd warrants that the goods will correspond at the time of delivery to the description given on the purchase order.
2.8) Ralph’s Wines Ltd does not accept any responsibility for late or non-delivery of goods arising from incorrect delivery information being provided.
2.9) Ralph’s Wines Ltd cannot except responsibility for goods going missing when the goods have been delivered at an agreed time but the purchaser was not present.
2.10) Where a delivery is requested in London’s congestion charge zone between the chargeable hours the buyer shall be liable to an additional fee to cover the cost of the tax.
2.11) Delivery charges are free on all purchases made with a total net value of £300.00, anything below this will incur our standard delivery charge of £14.99 plus VAT.
3). Reviews & Content
3.1) All buyers are offered the opportunity to post reviews, comments and other content on the products we serve. This right is conditional upon the buyer not leaveing illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise injurious to third parties.
3.2) Ralph’s Wines Ltd reserves the right to edit or remove any content that we view as inappropriate material.
4.1) All prices are inclusive of duty taxes and are exclusive of VAT and any delivery charges.
4.2) The price of all goods sold through the website is stipulated by Ralph’s Wines Ltd price list at the date of order or as agreed by the concerned parties.
4.3) Ralph’s Wines Ltd reserves the right to change our prices should changes in the exchange rates, duty taxes or supplier prices change. We will inform all customers of any change via email and update our website as soon as possible.
5). Payment Terms
5.1) Ralph’s Wines Ltd can offer several payment options to our clients depending on the type size and frequency of their orders;
5.1.1) Pro Forma Payment – This will be required on any printed orders and with clients without a credit history with us.
5.1.2) 30 Days Credit Account – This is only subject to completion of a credit check being made.
5.2) Payment of the total purchase price, including VAT and delivery (if applicable) must be made in full before the dispatch of the goods, unless agreed otherwise with Ralph’s Wines Ltd.
5.3) There will not be any agreement between Ralph’s Wines Ltd and a buyer, if the consumer is under the age of 18 years at the time of the order, even if the order has already been accepted via the website.
5.4). All balance transfer payments (BACS) should include the buyers name and invoice number as reference to indentify the receipt of payment. Ralph’s Wines Ltd will not be held liable, if the wrong account details have been entered inaccurately and no payment has been received, the buyer will still be liable to pay for the goods before they are dispatched.
5.5) If paying via balance transfer (BACS) Ralph’s Wines Ltd will notify the buyer once the payment has been received by email with a clear receipt.
5.6) On payment methods including balance transfers and cheques, only once the payment has been received credited to our account will the goods be dispatched. For example, if paying by cheque the buyer will be notified once funds have been cleared and when to expect delivery (if applicable).
5.7) For all events including weddings, payments must be received in full 30 days prior to the event. Failure to do so may result in the loss of your deposit payments.
6). Payment Conditions
6.1) The buyer shall pay the price of any goods and any additional charges in accordance with any specific payment terms set out on the invoice.
6.2) If the buyer fails to make payment by the due date then, without prejudice to any other right or remedy available to the seller –
6.2.1) Ralph’s Wines Ltd shall be entitled to charge the buyer interest on the amount unpaid at the rate of 4% (four percent) per annum above the sellers bankers base rate current from time to time, accruing on a daily basis until payment is made whether before or after any judgement;
6.2.2) Ralph’s Wine Ltd shall be entitled to withhold delivery of any goods agreed to be sold to the buyer or any instalment thereof (being the subject of the contract or any other contract)
until the overdue payment is made in full.
6.3) For all clients who have a 30 day credit account, payment is due in full 30 days from the invoice date to Ralph’s Wines Ltd or its nominee unless special terms have been agreed with the buyer and Ralph’s Wines Ltd in writing before hand.
6.4) Ralph’s Wines Ltd reserves the right to use Experian or a reputable credit reference agency at any point in the trading relationship with a client utilising a credit facility. We strictly follow the guidelines of the Data Protection Act. This is carried out in the strictest confidence and only used by the company for the purpose of granting a credit facility.
6.5) All goods shall remain the property of Ralph’s Wines Ltd until paid for in full by the buyer.
6.6) Late payments are invoiced weekly. We understand and may exercise our statutory right of interest under the Late Payment of Commercial Debts (interest) Act 1998 if we are not paid according to our terms and conditions. In addition to the interest at 4% above base, Ralph’s Wines Ltd reserves the right to charge a one off flat fee of £50.00 for invoices up to the value of £100.00 and a £100.00 flat fee for invoices over the value of £100.00.
6.7) Ralph’s Wines Ltd reserves the right to withdraw discounts on overdue invoices. We also reserve the right to re-invoice goods at full price.
6.8) Dishonoured (bounced) bank cheques will incur an administration charge of £20.00 plus VAT.
6.9) Failure to make payment within a reasonable time will result in the debt being passed on to a reputable collection agency. The purchaser shall be held responsible for all costs incurred for the collection of outstanding debts, including but not restricted to solicitors fees, reissuing of documentation and necessary visits by a member of staff or representative to the buyer. The figure is typically 15% on top of the value of the debt.
6.10) Written correspondence entered into Ralph’s Wines Ltd as a result of non-payment of a debt is chargeable at a rate of £15.00 plus VAT per letter.
7). Returns and Cancellations
7.1) The buyer must inspect the goods immediately upon delivery and notify Ralph’s Wines Ltd in writing if the goods are damaged or do not comply with the agreed contract within 7 days.
7.2) Any goods bought or orders made can be cancelled within 7 days of receipt of the goods by informing Ralph’s Wines Ltd in writing. Goods must be returned at the buyers cost and should be adequately insured during the return journey. The buyer shall receive a refund of all monies paid for the goods including delivery charges (if any) within 30 days of cancelling and goods being received.
7.3) Where a claim of faulty or damaged goods is made then it shall be the responsibility of the buyer to return the goods where the buyer shall be entitled to replacement goods or a full refund (including delivery costs if applicable) if the goods are in fact defective.
8). Sale and Return
8.1) All sale or return orders must include a minimum of £300.00 worth of goods. A maximum of 20% of the original order quantity can be returned. All returned goods must be in re-saleable condition otherwise no credit can be given. For all returns please notify Ralph’s Wines Ltd no later than 5 days after the event date agreed.
8.2) The buyer will be responsible for returning all sale & return goods to Ralph’s Wines otherwise a collection charge of £14.99 + VAT per order will be applied to all sale or return orders.
8.3). In the case of an event cancellation all deposits received for goods are non refundable after 7 days of the deposit due date.
9.1) All information including credit & debit card details are entered and received using the latest in secure e-commerce software. Ralph’s Wines Ltd will continue to use new security protocols and software as they become available.
10). Guarantees & Customer Satisfaction
10.1) In addition to the buyers statutory rights, Ralph’s Wines Ltd guarantees all goods against faulty workmanship and materials for a period of 60 days from the date of delivery.
10.2) We take our customer satisfaction extremely serious and if you are dissatisfied with our performance in any way please contact us immediately and we will endeavour to deal with any enquiries fairly, confidentially and quickly.
